2.1 TIME OF DELIVERY:

2.2 INSPECTION BEFORE SHIPMENT:

2.3 RETENTION OF TITLE:
YES (Property retained by Seller until complete payment)
2.4 PAYMENT CONDITIONS:
Irrevocable Documentary Credit (Confirmed), payable at sight.
2.5 DOCUMENTS:
Commercial Invoice, Packing List, Certificate of Origin, Certificate of Inspection, Insurance Document, Multimodal Transport Document.
3.1 CANCELLATION DATE:
Standard Art. 10.3 applies (after maximum delay liquidated damages reached).
3.2 DAMAGES FOR LATE DELIVERY:
0.5% per week (Max 5%) | Termination additional loss max 10%
3.3 TIME LIMIT FOR CLAIMS:
1 month from arrival of goods (Modified Art. 11.8)
3.4 GOVERNING LAW:
United Nations CISG (Vienna 1980); subsidiary law: Law of Seller's Country.
3.5 RESOLUTION OF DISPUTES:
ICC Arbitration in Paris, France (Rules of Arbitration of ICC).
3.6 OTHER TERMS AND ANNEXES:
Standard provisions apply.
This contract is governed by the conditions set out above and, for matters not settled by them, by the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980).
